Schellenberg Wittmer advised Leonardo S.p.A., Milano, – a publicly listed high-tech industrial company in Italy, which is amongst the top ten players globally in aerospace, defense and security, as Swiss counsel in its acquisition of the Swiss-based Kopter Group AG (former Marenco SwissHelicopter), which is developing a new single engine helicopter. The purchase price, on a cash and debt free basis, for 100% of Kopter Group AG consisted of a USD 185 million fixed component plus an earn-out mechanism.
